By accessing the Services, you confirm that you have read, understood, and agreed to be bound by all these Legal Terms. You are solely responsible for your Contributions and agree to indemnify us for any losses resulting from their breach of these terms or third-party rights infringement.

3. User Representations and Registration

By using the Services, you warrant that:

• All registration information you provide is true, accurate, current, and complete.
• You have the legal capacity to comply with these Legal Terms.
• You will not access the Services through automated means (e.g., bots or scripts).
• You will not use the Services for any illegal or unauthorized purpose.

• Warranties: You warrant that your Contributions do not infringe any third-party proprietary rights (copyright, trademark, etc.) and are not false, misleading, obscene, violent, harassing, or libelous.
• Review Guidelines: When posting reviews, they must reflect firsthand experience, must not contain offensive, abusive, racist, or hateful language, and must not make discriminatory references.

The Services may contain links to Third-Party Websites or Third-Party Content. We do not investigate, monitor, or check these for accuracy or completeness and are not responsible for them. Your access to and reliance on Third-Party Websites is entirely at your own risk.

8. Services Management, Termination, and Modifications

• Management: We reserve the right to monitor the Services for violations, take legal action against violators, and remove or edit Contributions at our sole discretion.
• Termination: These Legal Terms remain in full effect while you use the Services. We may terminate or suspend your account and deny access to the Services at any time, without warning, for any reason, including breach of these Legal Terms.
• Modifications and Interruptions: We reserve the right to change, modify, or remove the contents of the Services at any time without notice. We cannot guarantee the Services will be available at all times and will not be liable for any loss or damage caused by interruptions, delays, or discontinuance.

9. Governing Law and Dispute Resolution

• Governing Law: These Legal Terms are governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles.
• Dispute Resolution (Binding Arbitration): The Parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days. If unresolved, the Dispute will be finally and exclusively resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (AAA). You understand that you waive the right to sue in court and have a jury trial. The arbitration will generally take place in Colorado.
• Restrictions: Arbitration is limited to the individual Dispute between the Parties. No class actions or representative claims are allowed.
• Exceptions: Disputes involving intellectual property rights or claims for injunctive relief are exempt from arbitration and must be heard in the courts located in Colorado.

10. Disclaimer and Limitation of Liability

• Disclaimer: The Services are provided on an “as-is” and “as-available” basis. Your use of the Services is at your sole risk. We disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We assume no liability for errors, personal injury/property damage, unauthorized access to servers, interruptions, viruses, or third-party content.
• Limitation of Liability: In no event will Knitney be liable for any direct, indirect, or consequential damages (including lost profit or data). Our liability to you for any cause will always be limited to the amount paid by you to us in the six (6) months preceding the cause of action.

You agree to defend, indemnify, and hold us harmless from any loss, damage, or expense arising out of your Contributions, your use of the Services, your breach of these Legal Terms, or your violation of any third-party rights. We are not liable for any loss or corruption of user data.
